Minli Collaboration Terms of Service

1. Acceptance and Modification of Agreement

1.1 By clicking "I Agree" or actually using the Minli Collaboration website, beta reservation, future software client, and services, you confirm that you have read, understood, and accepted all terms of this Agreement and agree to be bound by them. If you do not agree to any provision of this Agreement, please do not apply for beta access or use the Service.

1.2 The Company reserves the right to modify or update this Agreement from time to time based on legal or regulatory changes or service optimization needs. The modified Agreement will be notified via website announcement, email, or in-software notice. If you continue to use the Service, you are deemed to accept the revised Agreement; if you do not agree to the changes, please stop using the Service and contact us to delete your information.

2. Account Registration and Beta Access

2.1 When applying for Minli Collaboration beta access or registering as a formal user, you must provide true, accurate, and complete personal information (including but not limited to name, email address, phone number, etc.) and promptly update it to ensure validity. Any consequences arising from false information shall be borne by you.

2.2 Any form of account trading, lending, or illegal transfer is prohibited. You are responsible for all activities conducted under your account and must keep your account credentials secure. If you discover any account anomaly or security breach, you must immediately notify the Company.

2.3 Beta access is limited and invitation-based. The Company reserves the right to screen or revoke beta user qualifications based on product strategy. During the beta period, the product may be unstable or pose a risk of data loss. You understand and voluntarily participate in testing to help improve the product.

3. License and Usage Rules

3.1 The Company grants you a non-exclusive, non-transferable, non-sublicensable ordinary use license to use Minli Collaboration software (including desktop and mobile versions) lawfully and compliantly within mainland China for team collaboration, communication, and other legitimate purposes.

3.2 You agree not to engage in the following activities:

• Reverse engineering, decompiling, cracking, or attempting to obtain the source code of the Software;
• Using the Software to distribute any illegal, defamatory, fraudulent, privacy-infringing, or intellectual property-infringing information;
• Using automated scripts or malicious means to interfere with normal service operation, launching DDoS attacks or vulnerability probing;
• Collecting other users' information without authorization or engaging in online fraud, phishing, etc.;
• Publishing content containing Trojan horses, viruses, or malicious links, or using the Service to store illegal or non-compliant files.

3.3 Minli Collaboration is an independent team collaboration tool compatible with Windows/macOS/Linux operating systems. However, the Company is not endorsed by Microsoft or any third-party OS provider. You assume the risk of compatibility between the Software and your operating system.

4. User Content and Data Rights

4.1 The intellectual property rights and related interests in documents, messages, audio/video data ("User Content") uploaded, stored, or shared by you through Minli Collaboration belong to you or the original rights holder. The Company only provides cloud storage and transmission technical services and will not use User Content for any commercial profit-making purposes.

4.2 For content uploaded by you while using the Service, you grant the Company the necessary data processing permissions, including storage, backup, encryption, and sharing or deletion according to your instructions. You must ensure that the content you publish does not violate any laws or regulations; otherwise, you shall bear independent legal responsibility.

4.3 The Company has the right to take necessary measures such as restricting access or removing suspected illegal User Content in accordance with legal requirements, government directives, or to protect the public interest.

5. Service Availability and Disclaimer

5.1 The Company will make every effort to ensure the stability and security of Minli Collaboration services, but internet services have inherent technical risks. We are not liable for: temporary unavailability due to network interruptions, power failures, hacker attacks, or server maintenance/upgrades; service interruptions or data loss caused by force majeure events such as natural disasters or war.

5.2 Beta services are provided "as is" without warranty of being completely defect-free or error-free. The Company makes no express or implied warranties of merchantability or fitness for a particular purpose.

5.3 In no event shall the Company be liable for indirect damages (such as loss of profits or business interruption) arising from the use or inability to use the Service, and total liability shall not exceed the total fees paid by you in the past six months (if any). As the beta period is free, the maximum compensation shall not exceed 100 RMB.

6. Intellectual Property Ownership

6.1 The intellectual property rights of Minli Collaboration software, official website, logo, UI design, source code, trademarks, etc., are owned by 武安敏黎电子商务有限公司. Without written authorization, you may not copy, modify, distribute, or use them for commercial profit.

6.2 Any feedback, suggestions, or optimization opinions generated by you during use are deemed to grant the Company the right to use them freely for product improvement, but such use will not be linked to your personal information.

7. Privacy Protection

We value your privacy. For detailed data collection, use, and protection measures, please refer to the Minli Collaboration Privacy Policy (available at the bottom of the website). The Privacy Policy is an integral part of this Agreement and has equal legal effect.

8. Termination and Miscellaneous

8.1 You may stop using Minli Collaboration at any time and contact us to delete your account and personal information. If you violate the core terms of this Agreement, the Company has the right to terminate this Agreement and disable your account.

8.2 The formation, execution, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. Any dispute arising from this Agreement shall first be resolved through friendly negotiation; if negotiation fails, either party may file a lawsuit with the competent court in the place where 武安敏黎电子商务有限公司 is registered (Wu'an City, Hebei Province).

8.3 The invalidity of any provision of this Agreement shall not affect the validity of the remaining provisions. The Company's failure to exercise any right does not constitute a waiver of that right.
